# Terms of Service.

> The terms for using Scrini AI: accounts, credits and billing, your duties when hiring with AI, data protection, liability, termination and governing law.

Last updated: October 2, 2026. The agreement between your organization and Scrini AI for using our platform, APIs and AI agents.

## Summary

- These terms apply to organizations that use Scrini. If you sign an enterprise agreement with us, that agreement takes priority.
- You pay with a subscription and usage credits. Credits are used only when a task completes and are non-refundable.
- Our AI agents assist your hiring. You make hiring decisions and are responsible for complying with employment and AI laws where you hire.
- We process candidate data on your behalf under our Data Processing Addendum and never use it to train shared AI models.
- These terms are governed by the laws of India, and the courts at Noida (Gautam Buddh Nagar), Uttar Pradesh hear disputes, unless a signed agreement says otherwise.

## 1. Agreement

These Terms of Service ("Terms") are an agreement between Scrini AI Private Limited, a company incorporated in India (CIN U62099UP2025PTC236974) with its registered office at 537 BHA / 588, Bharat Nagar Mohibullapur, Sitapur Road, Lucknow, Uttar Pradesh 226021, India ("Scrini", "we") and the organization that creates an account or uses the Service ("Customer", "you"). By creating an account or using the Service, the person accepting confirms they can bind the Customer. The Service is offered as a shared SaaS service and, for enterprise customers, as a dedicated deployment governed by a signed master services agreement (MSA) and order form. If an MSA or order form conflicts with these Terms, the MSA or order form wins.

## 2. Key definitions

Service: the Scrini platform, websites, APIs and AI agents. Candidate Data: personal data about candidates processed in the Service. Credits: usage units consumed by AI tasks such as AI calls, video interviews, screening and assessments. Order Form: a document that sets your plan, credits and fees. Output: content the Service generates for you, such as job descriptions, messages, transcripts, summaries and scores.

## 3. Accounts and access

You are responsible for your users and everything done in your workspace, for keeping credentials secure and for telling us promptly about unauthorized use. We may suspend access to protect the Service, other customers or candidates from a security risk or a serious breach of these Terms, and we will tell you why.

## 4. Free trial

Free trial credits let you try the full platform without a card. They expire 7 days after they are issued, have no cash value and are provided as is.

## 5. Plans, credits and fees

Plans are priced on credits, with no per-seat charges. Credits are deducted only for tasks that complete successfully, and failed tasks do not use credits. Credits expire at the end of their validity period: 90 days from purchase for Startup plan credits and the end of your subscription term for Growth and Enterprise plans, unless your Order Form says otherwise. Credits are non-refundable, cannot be transferred or exchanged for cash and do not roll over. Subscriptions renew automatically unless cancelled before renewal. To cancel, email support@scrini.ai; we confirm within 2 business days. We give at least 30 days' notice by email of any price increase, which applies from your next renewal, and we send renewal reminders where the law requires them. Fees exclude taxes. Late payments accrue interest of 1.5% per month or the maximum the law allows, if lower. Our Refund Policy explains billing disputes and refunds.

## 6. Your responsibilities when hiring

You decide whom to hire and are responsible for your hiring decisions. You must use the Service in line with all laws that apply to you, including employment, anti-discrimination, privacy, AI-in-hiring, recording, telemarketing and anti-spam laws. That includes giving candidates any notices required, getting any consents required (for example for recordings, AI video interviews or identity checks), commissioning any bias audits required (for example under New York City Local Law 144), offering alternatives and accommodations, honoring opt-outs and having a lawful basis for the candidate data you provide or ask us to collect. We provide information about how our AI features work to help you meet these duties.

## 7. Acceptable use

You must follow our Acceptable Use Policy, which forms part of these Terms. In short: no discriminatory screening, no fake jobs, no misleading candidates about AI, no unlawful outreach or data collection and no attempts to break, copy or reverse engineer the Service or use it to build a competing product or train AI models.

## 8. AI features and Output

AI features generate drafts, scores and recommendations that can be incomplete or wrong. Review Output before relying on it, especially before any decision about a candidate. As between us, you own the Output generated for you. Candidates are told when they are interacting with an AI agent, and you must not configure the Service to hide that.

## 9. Data protection and security

Each party complies with the data protection laws that apply to it, including GDPR, UK GDPR, CCPA and India's DPDP Act. For Candidate Data, Scrini is your processor under our Data Processing Addendum, which forms part of these Terms. We protect data as described in our Data Security Policy, and we never use your Candidate Data to train or fine-tune shared AI models.

## 10. Your data

You keep all rights in your data, including Candidate Data. You give us the rights we need to host, process and display it to provide, secure and support the Service. If you send us feedback, we may use it without obligation to you.

## 11. Our intellectual property

The Service, including its software, AI models, agents and designs, is owned by Scrini AI Private Limited and its licensors. We give you a non-exclusive, non-transferable right to use the Service during your subscription, under these Terms.

## 12. Third-party services

The Service connects to third-party tools you choose, such as applicant tracking systems, job boards, calendars and communication providers. Your use of those tools is governed by your agreements with them, and we are not responsible for them.

## 13. White-labeling

If you use a white-label option or branded sub-domain, you are responsible for the content and branding you supply. We may show "Powered by Scrini" unless our agreement removes it.

## 14. Service levels and support

We target 99.5% monthly uptime. Support is available Monday to Friday, 9:00 to 18:00 IST, at support@scrini.ai, and we reply within one business day. Enterprise plans can include 24/7 priority support and a dedicated account manager.

## 15. Beta features

Features labeled beta or preview are provided as is, may change or be withdrawn and are excluded from service levels.

## 16. Confidentiality

Each party will protect the other's confidential information with reasonable care, use it only for this agreement and share it only with people who need to know it and are bound by similar duties. These obligations survive the end of the agreement.

## 17. Warranties and disclaimers

We will provide the Service with reasonable skill and care and in line with its documentation. Except as stated in these Terms, the Service is provided as is, without implied warranties of merchantability, fitness for a particular purpose or non-infringement, to the extent the law allows.

## 18. Indemnities

We will defend you against third-party claims that the Service infringes their intellectual property and pay resulting damages awarded. You will defend us against third-party claims arising from your data, your hiring decisions or your use of the Service in breach of these Terms or the law, including discriminatory use.

## 19. Limitation of liability

Each party's total liability under this agreement is limited to the fees paid or payable in the 12 months before the claim. Neither party is liable for indirect, consequential, special or punitive damages or lost profits. These limits do not apply where the law does not allow them to, or to your payment obligations.

## 20. Term, suspension and termination

These Terms last while you use the Service. Either party may terminate for a material breach that is not cured within 30 days of written notice. You can cancel a subscription at any time to stop future renewals. Unused credits lapse on termination. Your data stays available for export for 30 days after termination, and we delete it by the end of that period as set out in the Data Processing Addendum.

## 21. Governing law and disputes

These Terms are governed by the laws of India, and the courts at Noida (Gautam Buddh Nagar), Uttar Pradesh have exclusive jurisdiction. This applies to customers in every country unless a signed master services agreement or order form says otherwise.

## 22. Changes to these Terms

We may update these Terms. We will give at least 30 days' notice of material changes by email or in the product. Changes do not apply retroactively, and your continued use after they take effect means you accept them.

## 23. General

You must comply with export control and sanctions laws and must not use the Service in sanctioned countries or for sanctioned persons. Neither party may assign this agreement without consent, except to a successor in a merger or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. These Terms, with the policies they refer to and any order form, are the entire agreement on this subject.
